Terms of Service

Effective date: April 1, 2026

Plain-language summary: SynaptoFlow is a care-coordination tool, not a medical device. The surgeon remains the clinical decision-maker. We provide the platform; you use it lawfully and responsibly. We limit our liability to the extent the law allows. Pakistani law governs disputes.

1. Agreement to terms

By accessing or using SynaptoFlow (“Service”), operated by SynaptoNex (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms apply to surgeons (and surgical practices) who hold an account, to patients accessing the patient checklist, and to any visitor to the SynaptoFlow website.

2. Description of the Service

SynaptoFlow is a pre-operative patient compliance tracking tool. It enables a surgeon to enrol a patient, send the patient a structured checklist link, and view the patient's real-time progress against pre-operative requirements. The Service is a care coordination support tool. It is not a medical device, electronic health record, or substitute for clinical judgement.

3. Not a medical device

SynaptoFlow is not a medical device. It displays and records instructions authored by the treating clinician, its basis is fully transparent to that clinician, and it is not intended to be relied upon as the primary source of any clinical decision. SynaptoNex has not sought and does not hold any medical device registration. The Service

  • Does not provide medical advice, diagnosis, or treatment
  • Does not replace the judgement of a licensed physician, surgeon, or other healthcare professional
  • Does not predict surgical outcomes, complications, or mortality
  • Should not be used as the sole basis for any clinical decision

Patients must always follow the direct instructions of their surgical team. If a patient has any clinical concern, they should contact their surgeon or seek emergency care.

4. Surgeon obligations

Surgeons who create accounts represent and agree that they will:

  • Hold a current, unrestricted licence to practise surgery in their jurisdiction
  • Only enrol patients who have given informed consent to the use of the Service for their care
  • Use the Service only for lawful pre-operative care coordination
  • Maintain the confidentiality of their account credentials and not share account access with unauthorised individuals
  • Comply with all applicable law, including the Prevention of Electronic Crimes Act 2016, any personal data protection legislation in force, Pakistan Medical Commission requirements on medical records, and their own institutional policies
  • Promptly notify SynaptoNex of any suspected security incident or unauthorised access
  • Not use the Service to make decisions that should be made by a regulated medical device

5. Patient use

Patients access the Service via a unique link provided by their surgeon. By using the Service, patients acknowledge that their checklist data is visible to their enrolling surgeon and that surgeon's designated team. Patients can withdraw at any time by stopping use of the Service or by asking their surgeon to remove the record.

6. Acceptable use

You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service except where expressly permitted by law
  • Probe, scan, or test the vulnerability of the Service except under a coordinated security review with our written agreement
  • Use the Service to transmit malware, unlawful content, or content that infringes third-party rights
  • Use automated tools or scripts to mass-enrol fictitious patients
  • Use the Service to attempt to identify or de-anonymise other surgeons' patients
  • Use the Service in any way that creates excessive load or interferes with other users

7. Intellectual property

The Service, including its software, design, content, and all intellectual property rights therein, is owned by SynaptoNex and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for the purposes described in these Terms. You retain ownership of all patient data you enter into the Service. You grant us only the rights needed to operate the Service for you, as set out in our Privacy Policy.

8. Fees and payment

The design partner program is offered free of charge for the first 30 days. Continued use after the pilot, or use outside the pilot, is subject to the pricing on our pricing page. Fees are payable in advance on the billing schedule selected. We may change pricing on 30 days' notice to existing accounts.

9. Service availability and changes

We aim for high availability but do not warrant uninterrupted service. We may modify, suspend, or discontinue any part of the Service. We will give reasonable advance notice of significant changes that affect existing users. Scheduled maintenance windows will be communicated where practical.

10. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. SynaptoNex does not warrant that the Service will be error-free, uninterrupted, or fully secure, or that defects will be corrected.

11. Limitation of liability

To the fullest extent permitted by applicable law, SynaptoNex and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

In no event shall our aggregate liability under these Terms exceed the greater of (a) the fees you paid to SynaptoNex in the 12 months preceding the event giving rise to liability, or (b) USD 500. Nothing in these Terms excludes or limits our liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless SynaptoNex from and against any claims, damages, liabilities, costs, and expenses arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) your breach of any warranty or representation made in these Terms, or (c) your violation of any third-party right.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access immediately if you breach these Terms, if your use poses a security or legal risk, or if we discontinue the Service. On termination we will provide an export of your data on request and delete it within 30 days, except where retention is required by law.

13A. Availability and support

We target 99.5% monthly availability, measured excluding scheduled maintenance notified at least 72 hours in advance. This is a target and not a warranty; we do not offer service credits at this stage and we will not pretend otherwise. Support is by email at synaptonex@gmail.com, Monday to Saturday, 09:00 to 21:00 Pakistan Standard Time, with a target first response within one working day. There is no 24/7 on-call line.

The Service must not be the only route by which a surgical team learns something clinically important. It is asynchronous and is not monitored in real time. Practices must keep the manual process they used before adopting it, and must not build a workflow around the Service that has no fallback when it is unavailable.

13B. Data export and business continuity

You own the patient data you enter. On request at any time, and automatically on termination, we will provide a complete export of your practice's data in a machine-readable format (JSON and CSV), including the full audit trail, within 14 days.

SynaptoNex is a small company. If we cease operating, we undertake to give at least 90 days written notice, to provide the export described above before service ends, and to keep the Service running in read-only mode for those 90 days so no practice loses access to a record it may need for a medico-legal purpose. We state this plainly because a hospital taking a dependency on a small vendor is entitled to know the answer before it signs, not after.

14A. No PHI before DPA execution

The Service must not be used to create, receive, maintain or transmit Protected Health Information until (a) a Data Processing Agreement between SynaptoNex and your practice has been signed by both parties, and (b) SynaptoNex has confirmed to you in writing that its own subcontractor Data Processing Agreements are executed. Until both conditions are met the Service is licensed for evaluation with fictional data only. Entering Protected Health Information before that point is a material breach of these Terms and is done at your sole risk.

14B. Clinical responsibility

The Service records what a patient reports. It does not verify that a patient has actually done what they marked as done, and it makes no clinical determination. All decisions about surgical clearance, cancellation, medication management and fitness for anaesthesia rest solely with the treating clinician. Nothing produced by the Service, including any AI-generated draft checklist, brief, or flag, is a clinical recommendation, and no such output reaches a patient without surgeon review. Clinicians must not rely on the Service in place of their own assessment.

14C. Not for emergencies

The Service is asynchronous and is not monitored in real time. It must not be used to communicate urgent clinical information or in any emergency. Patients experiencing a medical emergency should call 911.

14D. Beta status

The Service is a minimum viable product. It has no production users, has not been validated in a clinical trial, and is provided without any warranty of uptime, accuracy, or fitness for a particular purpose. Features may change or be withdrawn. You should not build a clinical workflow around it that has no manual fallback.

15. Force majeure

Neither party will be liable for delay or failure caused by circumstances beyond reasonable control, including natural disasters, power or internet failures, government actions, war, civil unrest, pandemic, or third-party service outages.

16. Governing law and dispute resolution

These Terms are governed by the laws of the Islamic Republic of Pakistan. The courts at Karachi have exclusive jurisdiction over any dispute arising from these Terms. [ATTORNEY REVIEW REQUIRED: venue should match SynaptoNex's place of registration, and the parties may prefer arbitration under the Arbitration Act 1940 to the ordinary civil courts given typical timelines.]

Before initiating formal legal action, the parties will attempt in good faith to resolve any dispute by direct discussion, with notice sent to synaptonex@gmail.com.

17. Severability and assignment

If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent needed to make it enforceable, and the remaining provisions will remain in full effect. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

18. Entire agreement

These Terms, together with the Privacy Policy and any additional written agreement signed by both parties, constitute the entire agreement between you and SynaptoNex regarding the Service. They supersede any prior or contemporaneous agreements.

19. Changes to these Terms

We may update these Terms as the Service evolves. The effective date above will be updated. Material changes will be notified to active surgeon accounts by email at least 30 days before they take effect, except where a shorter period is necessary for legal or security reasons. Continued use of the Service after changes take effect constitutes acceptance.
